(a) These terms and conditions ("Terms") govern the provision of services by [Your Company Name] ("Service Provider") to the customer named in the order confirmation ("Customer").
(b) The Order Confirmation and these Terms form the entire agreement between the parties and override all prior understandings, agreements, and communications, whether written or verbal. In the event of conflict, these Terms prevail unless otherwise stated in the Order Confirmation.
Service Provider agrees to provide the services described in the Order Confirmation ("Services") in accordance with these Terms.
Service Provider will make reasonable efforts to meet the performance dates listed in the Order Confirmation, though all dates are estimates.
(b) Customer represents and warrants that they are authorized to agree to these Terms under applicable laws.
Customer agrees to indemnify Service Provider and its affiliates from any claims or damages arising from Customer’s breach of these Terms.
Service Provider is not liable for delays or failures caused by Customer’s actions or omissions, including those of its agents or employees.
If either party wishes to change the scope or performance of the Services, the requesting party must submit a written change request. Service Provider will provide an estimate of the time and costs associated with the requested changes, which must be agreed to in writing by both parties before implementation.
(a) Customer agrees to pay fees as outlined in the Order Confirmation. Invoices are payable upon receipt, and late payments may incur interest charges of 1% per month or the maximum allowed by law.
(b) If payment is not made, Service Provider may suspend services until full payment is received.
Customer is responsible for any applicable taxes, duties, and fees imposed by governmental authorities.
All intellectual property created during service provision remains the property of Service Provider. Customer receives a limited license to use the deliverables solely for its intended purpose.
Customer agrees to maintain the confidentiality of all non-public, proprietary information disclosed by Service Provider and use it only for the purpose of utilizing the Services.
Service Provider warrants that the services will be performed professionally and according to industry standards. If Customer notifies Service Provider of defects within five days of discovering them, Service Provider may choose to re-perform or refund the defective services.
Service Provider’s liability is limited to two times the total fees paid by Customer under this Agreement. Service Provider is not liable for indirect, incidental, or punitive damages.
Service Provider may terminate this Agreement with immediate effect if Customer fails to make payments or comply with these Terms.
This Agreement is governed by the laws of [Your Jurisdiction]. Any disputes will be resolved exclusively in the courts of [Your Jurisdiction].
All notices must be in writing and delivered via email, certified mail, or a recognized courier service.
No failure to exercise or delay in exercising any right or remedy under this Agreement constitutes a waiver of that right or remedy.

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in effect.
